Terms of Service

Welcome to Zoogentic. By downloading, installing, or using the Zoogentic desktop application or website (collectively, the “Service”), you agree to these Terms. If you don't agree, please don't use the Service.

1. The Service

Zoogentic is a native desktop application for macOS and Windows that orchestrates coding CLIs you install separately. The Service is provided “as is” and may change as we add features and fix bugs. Features may be incomplete and stability may vary between releases.

2. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Zoogentic on devices you own or control for your personal or internal business use, subject to these Terms.

3. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where allowed by law.
  • Resell, sublicense, or redistribute Zoogentic without our written permission.
  • Use the Service to violate any law or infringe anyone's rights.
  • Interfere with the Service or attempt to gain unauthorized access to it.

4. Your content

You retain all rights to the projects, prompts, code, and other content you create or work on in Zoogentic (“Your Content”). Your Content is stored locally on your device. You are responsible for keeping your own backups and for the changes agents make to your files and git repositories.

5. Agents & AI output

Zoogentic runs coding CLIs and AI agents that can read, write, and execute changes in your projects. Content you submit is sent by those CLIs to the AI provider you are logged into. Output may be inaccurate or incomplete, and agents act on your behalf: you are responsible for reviewing their actions and output, and for the permission modes you grant them, before relying on the results. We make no warranty that AI output is correct, suitable, or free of bias.

6. Pricing

Zoogentic is free to use while it is in beta. We may introduce paid plans in the future; if we do, we will give notice in advance and before any charges apply. Note that running agents uses your own AI provider account, so any usage costs there are billed to you by that provider, not by Zoogentic.

7. Updates

We may release updates that add, modify, or remove features. Some updates may be required to continue using the Service.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOOGENTIC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE TOTAL OF USD $100.

10. Termination

You can stop using Zoogentic at any time. We may suspend or terminate access if you violate these Terms. Sections that by their nature should survive termination will do so.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated in-app or by email. Continued use of the Service after a change constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Zoogentic is operated, without regard to conflict-of-laws rules.
